Access rights agreement for Matriset Oy’s
software. The agreement shall be between you or the organisation you are representing (orderer) and Matriset Oy (deliverer). By installing or taking Matriset Oy’s software product into use, you are accepting the conditions stated in this agreement. ACCESS RIGHTS AGREEMENT 1. ACCESS RIGHT The orderer can use the software freely within the scope of the agreement. Distributing the passwords needed for the loading of the program or products to a third party or using the program for needs other than those of the customer stated on the agreement is prohibited. One backup copy can be made of the program. Other copying, changing, decoding the program code and/or compiling is prohibited. The update version of the program can be used only for replacing a program previously licensed to the customer. 2. COPYRIGHTS The program, copy rights and all other rights belong to Matriset Oy. 3. TERMINATION OF ACCESS RIGHT The orderer has the right to terminate this access right at any time by destroying the program and its backup copy. Matriset Oy has the right to terminate the access right in the event of the conditions of the agreement not being adhered to or if the payment invoiced for the access right is not made. 4. TRAINING AND OPERATIONS SUPPORT This access rights agreement does not include program user training. Matriset Oy provides operations support by phone and email. Operations support is charged to the orderer according to the price list in use at the time. 5. MAINTENANCE (only for the orderers who chose maintenance as a supplementary service when ordering) The orderer may download the latest version of the ordered product from the net page of Matriset Oy. Maintenance also includes telephone and email support for the use of the product. The maintenance is charged according to the price list valid from the beginning of the calendar year following the order year. The orderer has the right to cancel the maintenance of the product at any time by notifying the deliverer in writing or by email. When the orderer cancels the maintenance agreement, maintenance payments already made will not be refunded. The deliverer has the right to cancel the maintenance immediately if the orderer violates this agreement. The deliverer has the right to cancel the maintenance for other reasons by notifying the customer in writing or by email before the beginning of the next maintenance period. 6. LIMITED WARRANTY The deliverer is responsible for the operation of the functions of the program in the hardware environment indicated in the directions for ninety (90) days from the delivery of the software. The warranty is not valid if the inoperability of the program or an error in it is the result of incorrect use, mistake or accident. All the rights of the orderer regarding damage caused by the program or errors occurring in it are limited to compliance with Matriset Oy’s decision to either refund the paid purchase price or to repair the error in the program. 7. LIMITATION OF LIABILITY The deliverer is not responsible for any indirect damages which the use of the program may possibly cause. 8. APPLICABLE LAW Finnish law is applied to this access rights agreement.
